Terms of Service
Effective date: October 9, 2025
These Terms of Service (“Terms”) govern your access to and use of websites and interfaces operated by PepeBitcoin LLC (“PBTC,” “we,” “us,” or “our”), including the PBTC ecosystem: Token Forge (token creation platform), presale and staking interfaces, PBTC and COAL information pages, the merch store, payment integrations, and any other frontends hosted on official PBTC domains (collectively, the “Services”). By using the Services, you agree to these Terms.
1) Non-Custodial Infrastructure
PBTC provides non-custodial frontends and smart-contract infrastructure. We do not hold your assets, execute transactions on your behalf, or control your wallet. You interact directly with blockchains through your self-custodial wallet. Transactions are irreversible and subject to protocol rules and network fees.
2) Eligibility
- You are at least 18 years old and have legal capacity to enter into these Terms.
- You are not prohibited from using the Services by applicable laws (including sanctions rules).
- You are not located in or a resident of any jurisdiction where use of the Services is restricted or unlawful.
3) No Advice; No Fiduciary Duty
Information on the Services is for general informational and educational purposes only and does not constitute investment, financial, legal, or tax advice. PBTC owes you no fiduciary duties. You are solely responsible for your decisions and should consult professional advisers where appropriate.
4) Risks
- Smart contracts may contain bugs or vulnerabilities; use at your own risk.
- Token prices are volatile; markets can become illiquid.
- Transactions can fail, be front-run, or incur unexpected network costs.
- Third-party services (wallet connectors, routers/DEXs, vendors, payment processors) may fail or change.
5) Token Forge; Project Independence
- The Token Forge is a permissionless tool. You are solely responsible for any token you deploy.
- PBTC does not audit, endorse, or guarantee third-party tokens, teams, claims, or outcomes.
- You represent that your use complies with applicable laws (e.g., securities, tax, consumer protection).
6) Presales, Staking, and Protocol Logic
- Smart-contract code governs presales, staking, vesting, rewards, limits, and lockups.
- Frontend displays are informational only and do not modify protocol behavior.
- Unless expressly stated otherwise, crypto transactions are final and non-refundable.
7) Merch Store and Payments
The merch store operates via third-party print-on-demand and payment providers. Fulfillment, shipping, taxes, customs, and quality are handled by those vendors. PBTC is not responsible for delays, losses, or interruptions outside our control. Vendor return/refund policies apply unless we expressly state otherwise.
8) Delisting and UI Moderation
On-chain deployments are immutable, but we may label, hide, or remove projects from our frontends at our sole discretion (e.g., fraud, IP infringement, impersonation, illegal content, or security risks). This does not affect on-chain availability.
9) Prohibited Uses
- Violations of law or regulation, including sanctions evasion or illicit finance.
- Fraud, market manipulation, spam/scams, malware, or security attacks.
- Infringement of third-party intellectual property or privacy/publicity rights.
10) Third-Party Services
The Services may reference or integrate third parties (e.g., wallet connectors like Reown AppKit/WalletConnect, RPC providers, DEX/routers, analytics, fulfillment and payment vendors). Your use of such services is governed by their terms and policies. PBTC is not responsible for third-party acts, omissions, or changes.
11) Fees and Taxes
You are responsible for network fees, any disclosed platform fees, and all applicable taxes related to your activity. PBTC does not provide tax advice or reporting.
12) Intellectual Property
PBTC names, logos, designs, and site content are the property of PepeBitcoin LLC or its licensors and are protected by intellectual property laws. You may not use PBTC marks without prior written permission, except for nominative fair use.
13) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES; TO THE EXTENT PROHIBITED BY LAW, SUCH DISCLAIMERS MAY NOT APPLY TO YOU.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PBTC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, TOKENS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF US$100 OR THE FEES (IF ANY) YOU PAID PBTC FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THIS SECTION LIMITS LIABILITY FOR WILLFUL MISCONDUCT OR FRAUD, FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED BY LAW, OR FOR ANY LIABILITY THAT CANNOT BE LIMITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; TO THE EXTENT PROHIBITED BY LAW, SUCH LIMITATIONS MAY NOT APPLY TO YOU.
15) Indemnification
You agree to defend, indemnify, and hold harmless PBTC from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your projects/tokens, or your violation of these Terms or applicable law.
16) Compliance; AML/KYC
PBTC may implement or integrate compliance tools and may request information to comply with law (e.g., AML, sanctions). We may restrict access where legally required or where risk is unacceptable in our discretion.
17) Changes; Suspension; Termination
We may modify, suspend, or terminate the Services or these Terms at any time. Continued use after changes indicates acceptance of the updated Terms. Where required by law, we will provide notice of material changes.
18) Governing Law; Arbitration; Class-Action Waiver
These Terms are governed by the laws of the State of Delaware, USA (without regard to conflict-of-laws rules). Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration in Delaware under the rules of a recognized arbitration provider, and NOT in a class, consolidated, or representative proceeding. Class actions are waived.
30-Day Opt-Out: You may opt out of arbitration by sending written notice to legal@pepe-bitcoin.com within 30 days of first accepting these Terms. If you opt out, you agree that exclusive jurisdiction and venue will be in the state or federal courts located in Delaware, and you waive any objection to inconvenient forum.
Certain consumer protections may apply to you depending on your residence. Where mandatory law prohibits arbitration or the class-action waiver, this Section will not apply to that extent.
19) Consumer Law Caveat
Nothing in these Terms is intended to exclude or limit any non-waivable rights that apply to you under applicable consumer-protection laws. If any provision is unenforceable as to a consumer, it will apply to the maximum extent permitted by law.
20) Entire Agreement; Severability; Assignment
These Terms are the entire agreement between you and PBTC regarding the Services. If any provision is unlawful or unenforceable, it will be severed and the remainder will remain in effect. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or asset sale.
